SELF SELECT SERVICE WEBSITE TERMS & CONDITIONS AND PRIVACY POLICY

These website terms and conditions (“Website Terms and Conditions”) form part of your JPMorgan Self Invested Personal Pension Agreement (the “Agreement”), which also includes relevant terms and conditions for the Self Select Service set out under Part 6 of that Agreement and apply to your access to and use of this website and all the services provided on this website including the Self Select Securities in which you may choose to invest. By clicking on "Agree" where indicated at the bottom of these website Terms and Conditions, you unconditionally agree to be bound by them, any other separate terms and conditions relevant to the operation of this website, the Self Select Service and Self Select Securities (including, without limitation, these website Terms and Conditions and the Agreement) or any prevailing relevant regulations and legislation and any other terms and conditions that govern the operation of our related accounts and facilities.

We recommend that you print a copy of these Website Terms and Conditions and consider it carefully before agreeing to be bound by them.

References to 'you' and 'your' are references to the person accessing the website who is the same person who appears as a signatory on the Application Form. References to 'we', 'us' and 'our' are references to JPMorgan INVEST (UK) Limited.

1 ELIGIBILITY TO USE THE SELF SELECT SERVICE

1.1      By registering for the Self Select Service, you acknowledge that you are over the age of 18 and either:

 - resident or ordinarily resident in the United Kingdom for tax purposes; or

 - are performing duties as a Crown employee serving overseas (or are married to such a person),

and additionally you have been accepted as a client into the JPMorgan Self Invested Personal Pension.

The information on this website is general information only. It is not, and is not intended as, advice on any specific issue or situation. None of this information constitutes, or may be relied on as financial or other professional advice.

1.2      The Self Select Service and Self Select Securities are available only if you do not wish to follow any advice you may have been provided with previously in respect of funds which you have chosen to invest into the Self Select Service. Accordingly, by making the Self Select Service available to you, you are hereby stating to us that you instead prefer to make your own investment decisions with the Assets held in or to be used to fund the Self Select Service; and have provided us with such information about your knowledge and experience in the field of investments in which the JPMorgan Self Invested Personal Pension invests, as we may require from time to time. We will provide you with information on, but will not give you investment advice about the suitability of the Self Select Service or any Self Select Securities for your requirements. If you are in doubt as to whether the Self Select Service meets your requirements, then you should seek information from a JPMorgan INVEST adviser. However, the adviser will not provide you with advice about your investment choices and you should seek any information on individual Self Select Securities directly from the fund provider.


2          REGISTERING TO USE THE SELF SELECT SERVICE

2.1      Following the commencement of this Service, we will send to you by post your welcome letter, and details of how to access the Self Select Service. You will be required to register for the service, and be asked for some security information (including a memorable date which you will need to access the site in future). You will then be issued with a password (by post) and will thereafter be able to log-on and use the Self Select Service and start to manage your investments.

3          PASSWORDS AND SECURITY CODES

3.1      Your single use password will be valid for 25 days from the date of issue. If you do not access the Self Select Service within this period, your password will be cancelled and you must contact us by telephone on 0800 028 3200 to request a new password.

3.2      When you access the Self Select Service for the first time, you will be required to change the single use password to the one of your choice you should not use a password that other people might easily guess, for example, birth dates, family pet or street names.

3.3      You must safeguard your password and memorable date. Under no circumstances should you keep a written or electronic record of your password, nor disclose them to any other person, including our staff. Your password must remain confidential and you must take all reasonable steps to prevent disclosure of your password. You must report disclosure or possible disclosure of your password to us as soon as you become aware, or suspect, that your password has been disclosed and provide us with all information and assistance as we may reasonably require.

4          PROVISION OF THE SELF SELECT SERVICE

4.1      Your right to use the Self Select Service is personal to you and you must not permit any other person to access or use the Self Select Service using your user identification, account number, password or memorable date.

4.2      You are responsible for providing and maintaining any equipment that you use to access the Self Select Service. Technological changes from time to time may make the equipment that you currently use to access the Self Select Service obsolete or otherwise unsuitable. You are solely responsible for any telecommunication costs that you incur whilst using the Self Select Service. We reserve the right to change the Self Select Service at any time without notice to you, even if this means that you need to update or replace the equipment that you use to access the Self Select Service.

5          USING THE SELF SELECT SERVICE

5.1         As an individual investor, you can use this website to:

- view a valuation and details of your existing Self Select Securities and transaction history.

- purchase Self Select Securities using the funds available in the Cash Account; and         

 - switch between Self Select Securities;

5.2      We reserve the right to add to, alter, upgrade or discontinue any part or all of the Self Select Service or information contained on this website without notice. It is your responsibility to regularly read the Website Terms and Conditions accessible in the menu. By using the Self Select Service you agree and accept to be bound by these Website Terms and Conditions.

6              PURCHASING AND SWITCHING SELF SELECT SECURITIES

6.1           All initial payments in to the Self Select Service will be deposited in the Cash Account, from which you can create an instruction to purchase your Self Select Securities.

6.2           Instructions to purchase or switch between Self Select Securities may be accepted on any day but will only be processed on a Business Day:

                - purchase instructions for Self Select Securities received by midnight (UK time) on a particular day will be processed by the close of business on the next following Business Day;

                - switch instructions between Self Select Securities received by midnight (UK time) on a particular day will be processed by selling Self Select Securities by the close of business on the first subsequent Business Day and purchasing on the second subsequent Business Day following the instruction.

 

6.3.1        Purchase instructions may be given by expressing a specific sum in Sterling or by quoting a percentage (which must be a whole number).

6.3.2        Switch instructions may be given by expressing a specific sum in Sterling, by quoting a percentage (which must be a whole number) or by specifying a number of units / shares to be sold.

6.4           You may purchase as many of the Self Select Securities made available by us to you from the cash held in the Cash Account as you wish.

6.5           When switching Self Select Securities the instruction will be recorded against each fund you are switching from. You may choose to switch into any number of Self Select Securities. You may submit a switch instruction from each fund that you hold (that is available for switching at that time).

6.6           Once a switch instruction has been submitted you will not be able to initiate any further switches until the pending transaction has been completed. This settlement period is usually up to 2 Business Days but may be shorter or longer depending on the type of investment traded. For the avoidance of doubt we will not initiate a buy instruction until the sell instruction has been settled.

6.7           All the above instructions may be processed through the “SWITCH” function.

7          PAYMENT

7.1  You cannot apply online to invest additional contributions or cash transfers in to your JPMorgan Self Invested Personal Pension. Any payment in to the Self Select Service can only be made by cheque or electronic transfer from an authorised UK bank, along with an accompanying paper based application.

8          COMMUNICATION VIA THE SELF SELECT SERVICE

8.1      You expressly authorise us to accept any instruction made through your use of the Self Select Service which we reasonably believe to originate from you and we do not accept any liability whatsoever or howsoever arising, directly or indirectly, from our acting in accordance with said instruction.

8.2      We are not obliged to verify any instruction made through your use of the Self Select Service as long as we reasonably believe it to be genuine. However, for your protection, we reserve the right to contact you and obtain written confirmation from you of any instruction made through your use of the Self Select Service.

9       LIMITATIONS ON LIABILITY

9.1   To the fullest extent permitted by law and to the extent not expressly permitted in these Website Terms and Conditions or the provisions of the Agreement, we disclaim all warranties, descriptions, representations or conditions in respect of the Self Select Service, Self Select Securities and this website whether express or implied, including (without limitation) warranties as to merchantability and fitness for any purpose and that the Self Select Service will be accessible at all times, or at all.

9.2   The Self Select Service may be temporarily unavailable or restricted for administrative or any other reason and we do not accept any responsibility and will not be liable for any loss or damage arising out of, or in connection with, loss of access to, or use of, this website or the Self Select Service. In the event that the Self Select Service is unavailable, you should notify JPMorgan INVEST Client Services by phone on 0800 028 3200.

9.3   Notwithstanding any other general applicable restrictions on liability within the Agreement you additionally acknowledge and accept that we, and anyone that we are responsible for, have no liability to you at law, by statute, in equity or otherwise arising from our relationship for any loss, damage, expense or injury, whether direct or indirect, special or consequential, incurred or suffered by you arising from, or in connection with:

·          any error, corruption, inaccuracy or incompleteness in any information or communication received from you;

·          your use of, or access to, this website, the Self Select Securities and the Self Select Service, except as a result of our negligence or willful default;

9.4   In no event will we be liable to you for any circumstances beyond our reasonable control including, without limitation, a corruption or error arising during data transmission, any hardware or software error, unavailability, non-functioning or interruption of the Internet or other telecommunication services, viruses or security breaches.

10      COOKIES 

10.1   No cookies or similar software is used in the provision of the Self Select Service.

11       INTELLECTUAL PROPERTY RIGHTS

11.1   We (or our licensors) hold all copyright and all other intellectual property rights in this website and the Self Select Service, including without limitation the Self Select Securities, your password, memorable date, reference number and account number. All rights are reserved. You have no rights to use any of our intellectual property except as set out in these Website Terms and Conditions.

11.2   Except for the purpose of accessing the Self Select Service and producing print-outs for your own personal use or to the extent that we consent otherwise in writing addressed to you, no material on this website may be copied, displayed, modified, reproduced, stored in a retrieval system, transmitted (in any form or by any means), distributed, used for creating derivative works or used in any other way for commercial or public purposes.

12       SUSPENSION AND TERMINATION OF THE SELF SELECT SERVICE

12.1   Notwithstanding any general applicable provision relating to termination within the Agreement, you additionally agree that:

(a)      at our sole discretion, we may immediately suspend or terminate your access to and use of all or any part of this website and the Self Select Service from time to time. We will inform you of any suspension or termination as soon as reasonably possible;

(b)      if you redeem all of your investments held with us, either of us may immediately terminate your right to access and use this website and the Self Select Service.

12.2   Any suspension or termination of your right to access and use this website and the Self Select Service will not affect applications or instructions already accepted by us, whether or not we have already actioned them, unless we believe that there may be a risk of fraud, or we are prevented by law from actioning your application or instruction.

13       COMPLAINTS

13.1   If you have a comment or complaint about this website or the Self Select Service, please tell us by contacting JPMorgan INVEST on telephone number 0800 028 3200 or by writing to JPMorgan INVEST (UK) Limited, 5 Temple Square, Temple Street, Liverpool L2 5RH. We have defined procedures for handling complaints, a copy of which is available on request.

13.2   If having filed a complaint with us you are dissatisfied with our response, you are normally entitled (depending upon the nature of your complaint) to refer the matter to either the Financial Ombudsman Service ("FOS") or the Pensions Ombudsman ("PO").

During your complaint, we shall advise you to which ombudsman service you have the right to refer your complaint.

The FOS and PO are both independent statutory bodies that investigate and adjudicate on disputes between schemes and their members. Both services will however not become involved in disputes until such time as the Scheme's own complaints process has been exhausted and no resolution can be agreed upon.

14       VARIATION

We may vary these Website Terms and Conditions at any time by general notice on the website. Any change by us will be effective immediately and deemed accepted by you the next time you access the website or use the Self Select Service.

You should ensure that you read these Website Terms and Conditions every time you access the website and use the Self Select Service to ensure that you are still in agreement with its content as they may vary frequently.

15       GENERAL PROVISIONS

15.1   If any provision of these Website Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of these Website Terms and Conditions, which shall remain in full force and effect.

15.2   The failure or delay either by us or you to exercise or enforce any rights, or enforce any obligation, which the other may be in breach of under these Website Terms and Conditions is not a waiver of those rights nor will it bar enforcement of those obligations at that time or at any subsequent time.

15.3   Headings in these Website Terms and Conditions are for convenience only and will have no legal meaning or effect.

15.4   You must not assign your rights, or subcontract your obligations, under these Website Terms and Conditions without our prior written consent.

15.5   The exercise by us of any express right set out in these Website Terms and Conditions is without prejudice to any other rights, powers or remedies available to us in these terms, at law, or in equity, including any rights, powers or remedies which would be available to us if the express rights were not set out in these Website Terms and Conditions.

15.6   You agree to indemnify us against any costs, claims, demands, loss or expenses suffered by us as a result of your use of the website and Self Select Service other than those arising as a result of our fraud (including our fraudulent misrepresentation), willful default or negligence. To meet any liability which you may owe to us under this clause we shall be entitled to sell your investments and deduct any amounts due to us from the proceeds of sale of such investments.

15.7   We reserve the right to refuse any instruction to purchase Self Select Securites without giving a reason for doing so.

16       GOVERNING LAW

This website and these website Terms and Conditions are governed by, and are to be interpreted in accordance with, the laws of England and Wales. The courts of England will have exclusive jurisdiction to settle any claim or matter arising under or in relation to these Website Terms and Conditions. To the fullest extent permitted by law, we accept no responsibility for the compliance of the information on this website or the supply or non-supply of the Services with the laws of any other country.

17       PRIVACY POLICY AND SECURITY

17.1   We are wholly committed to protecting client privacy and will take all reasonable steps to ensure that your personal data is kept secure against unauthorised access, loss, disclosure or destruction.

The personal data you supply (a) when applying for the services of and (b) throughout your relationship with, us will be processed for the purposes of:

i) administering your account,
ii) operational purposes, credit assessment and statistical (including behaviour) analysis
iii) the detection, investigation and prevention of fraud and other crime
iv) providing you with information concerning products and services which may be of interest and
v) to meet legal and regulatory requirements.

Your personal data may be disclosed:

i) to any of our Affiliates, agents or information providers,
ii) to fraud prevention agencies and other organisations involved in crime prevention (both in the UK and where appropriate, overseas), to protect us and our customers from theft and fraud,

iv) to any member of the JP Morgan Chase & Co group of companies (including companies based in countries where data protection laws might not exist or be of a lower standard than the EU), to enable the provision of services to you.

We or any associated or subsidiary companies may from time to time provide customers with details of new investments, product launches and special offers by mail, telephone or e-mail. All customers are given the opportunity to opt out of receiving such information at the time that they apply to open an account with us. 17.4   Whilst we have taken every precaution to ensure that data held by us is secure from unauthorised access, we do not have control over the Internet or the computer environment that you use to access this website or the Self Select Service. You acknowledge that any communication transmitted via the Internet is an inherently insecure communication medium and that we cannot guarantee any information sent by you will be received in the same form.
